PAPN Texas current bylaws requires a review of the bylaws every 3 years. The PAPN Texas Board has proposed major revision to address several issues. Below is a description of the issues addressed in this revision. Attached is a copy of the Bylaw or you can Clink here for a copy. After review, please CLICK HERE TO VOTE. Voting will close 30 days after posted or on June 24, 2021.
- The current bylaws did not have a clear succession plan for leadership continuity. This revision changes from President and Vice President model that did not define succession planning to a President-Elect; President; Past-President model which helps ensure continuity of leadership.
- To maintain leadership continuity the new bylaws defines staggered terms of service for the Board of Director and Officers.
- Student board member is changed from non-voting elected board member to an appointed voting position.
- Change PAPN regions from non-population-based Texas Parks & Wildlife Natural Regions (ie Piney Wood & Praires and Lakes etc) to contiguous regions based around populations centers (ie DFW/NE Texas, Houston/Gulf Coast, Austin/Hill Country etc. (CLICK HERE to see Proposed Map)
- Defines quorum of the board, committee, advisory board or taskforce
- Simplifies mission and goals statements
- Simplifies statement of the officer’s duties
- Changed membership categories from bylaws derived statements to board directed policy statements.
- Requires an annual meeting of membership.
- Eliminated Executive Committee. The Executive Committee has never been a function group of PAPN Texas.
- Allows for but does not require that staff can be hired and defines responsible leadership of staff.
- Defines several necessary legal related bylaw issues; ie conflict of interest, indemnification and dissolution of association.
